General Counsel

About This Opportunity

We are representing a confidential SaaS client in their search for a General Counsel to serve as chief legal officer and a key member of the executive leadership team. This remote position will lead global legal, intellectual property, and corporate functions while serving as a strategic partner to senior leadership and the Board of Directors. You will build and scale a high-performing legal organization that supports the next phase of growth, globalization, and product innovation for an AI-powered enterprise platform.

Responsibilities

• Legal Strategy & Leadership: Develop and execute comprehensive legal strategy aligned with business objectives; advise executive team and Board on key legal, regulatory, and governance matters; build and mentor a high-performing in-house legal team; establish scalable processes and playbooks for rapid execution
• Corporate Governance & Financing: Serve as corporate secretary; manage Board and committee governance processes; oversee corporate structure and global entity compliance; support equity and debt financings including investor negotiations and ongoing compliance; partner with Finance and People teams on equity plan administration
• Commercial & Partnership Counsel: Own legal support for enterprise SaaS subscriptions, professional services agreements, channel partnerships, and strategic partner agreements; enable predictable deal cycles while managing risk; provide business-oriented product counseling on new features, AI use cases, and international expansion
• Privacy & Data Protection: Own global privacy and data protection program including compliance with U.S. federal and state laws and international frameworks; oversee Terms of Service and privacy policies; work with Security and IT on customer reviews, audits, and incident response; develop policies on data governance and ethical AI usage
• Labor & Employment: Advise on employment matters including hiring, terminations, performance management, and compensation; support People team in implementing compliant policies; provide guidance on product features related to labor and scheduling law compliance
• Intellectual Property: Develop and implement global IP strategy including patents, trademarks, copyrights, and trade secrets; partner with Product and Engineering to identify and protect innovations; manage enforcement and defense of IP rights
• Regulatory & Risk Management: Monitor legal and regulatory developments affecting AI, data privacy, employment law, and enterprise software; design risk and compliance framework including policies, training, and internal controls; coordinate with insurers on appropriate coverage
• Strategic Transactions: Lead legal aspects of M&A, investments, and strategic partnerships from diligence through integration; provide guidance on competition and antitrust considerations

What We're Looking For

Required Qualifications:

• J.D. degree from an accredited law school and membership in good standing with at least one U.S. state bar
• 15+ years of combined experience in top-tier law firm and in-house roles, with significant time as General Counsel, Chief Legal Officer, or senior deputy GC at a high-growth technology or SaaS company
• Deep experience advising on enterprise SaaS and commercial contracting, corporate governance for venture-backed or private equity-backed companies, data privacy and security, and IP strategy and licensing
• Demonstrated track record of building and leading legal teams that support rapid growth and international expansion
• Proven ability to operate as a business-minded advisor, balancing risk with strategic and commercial objectives
• Exceptional judgment, integrity, and discretion; trusted partner to executives and Board
• Strong communication skills with ability to translate complex legal issues into clear, actionable guidance for non-legal stakeholders
• Highly collaborative, low-ego leadership style with focus on enabling the business
• Bias toward practicality and speed; comfortable in fast-paced, high-growth environments

Preferred Qualifications:

• Experience in HR tech, workforce management, fintech, or other data-intensive SaaS businesses
• Prior leadership supporting AI/ML products and associated ethical, regulatory, and data governance issues
• Experience supporting global customers and operations across North America, EMEA, and APAC
• Prior work with large enterprise and strategic partners in the HCM space

Pay

This is a full-time, exempt position. Some travel may be required. The role includes a competitive compensation package with base salary, bonus, stock equity, and comprehensive benefits.
