About This Opportunity

We are representing a global healthcare distribution organization seeking an Ethics & Compliance Manager to lead two critical functions: managing ethics and compliance processes for M&A transactions, and serving as the regional compliance business partner for Latin America (excluding Brazil). This role offers the opportunity to work at the intersection of corporate development, legal risk management, and international compliance operations.

The successful candidate will partner with Business Development, Legal, Regulatory teams, and regional business leaders while managing relationships with external counsel, consultants, and auditors. This position requires someone who can balance strategic due diligence with hands-on compliance program management across diverse markets.

Responsibilities

M&A Due Diligence & Integration:

  • Manage and conduct ethics and compliance due diligence for global acquisitions, investments, and divestitures across areas including data protection and privacy, exclusion/debarment, promotional marketing, anti-kickback statutes, FCPA/anti-corruption, transparency reporting, telemedicine, and government contracting
  • Prepare written risk assessments with ranked observations and remediation plans for presentation to internal and external stakeholders
  • Oversee engagement, budget, and deliverables from third-party law firms, consultants, and auditors
  • Facilitate implementation of pre- and post-closing remediation actions and track ongoing compliance integration
  • Review transactional agreements and advise Legal on compliance-related contract provisions including indemnifications, representations, warranties, and covenants
  • Participate in internal deal team meetings and external stakeholder discussions
  • Prepare executive-level reports and presentations on compliance findings and status

LATAM Regional Compliance Business Partner:

  • Manage, oversee, and enhance the Ethics & Compliance program across the Latin America region (excluding Brazil)
  • Serve as trusted advisor to regional operations and corporate functions, developing and implementing policies, guidelines, education resources, and communication programs
  • Provide guidance on compliance with local and international laws including anti-bribery and corruption, fraud and abuse, customer incentives, marketing structures, data protection, and government contracting/tenders
  • Monitor and analyze new regulatory requirements, determine organizational impact, and lead implementation plans
  • Lead risk assessments, compliance audits, culture surveys, and monitoring activities
  • Assist with internal investigations, business partner inquiries, government actions, and related responses
  • Support compliance Helpline responses and resolutions
  • Ensure timely completion of transparency reporting and periodic training requirements

What We're Looking For

Required Qualifications:

  • Typically 8+ years of progressive professional experience in ethics, compliance, or legal functions
  • Fluency in both English and Spanish (required)
  • Bachelor's degree or equivalent in a related discipline

Preferred Experience & Knowledge:

  • Ethics, compliance, or legal experience in organizations subject to pharmaceutical, medical device, or healthcare compliance laws and regulations
  • Life Sciences or Healthcare compliance industry background, particularly in anti-bribery and corruption, customer incentives, marketing structures, data protection, and government contracting
  • Knowledge of foreign healthcare fraud and abuse laws (UK Bribery Act, Foreign Corrupt Practices Act)
  • Experience with Data Privacy legislation and Transparency reporting
  • International working experience
  • Master's degree or equivalent preferred
  • Industry certifications a plus

Work Environment:

  • Office environment with no special physical demands
  • Travel typically less than 10%
  • Position eligible for bonus compensation

Pay

Our client has indicated a base salary range of $99,622 to $155,660 for this position, representing the expected range from entry into the role through full proficiency. Final compensation within this range will be determined by factors including prior experience, current skills, geographic location, and internal equity considerations.

This position is also eligible for bonus compensation and a comprehensive benefits package including medical, dental, and vision coverage, 401(k) with company match, PTO, paid parental leave, income protection, flexible spending accounts, educational benefits, and scholarship programs.
