Chief Legal Officer (CLO) / Legal Counsel – Prytek

About This Opportunity

We are representing a confidential multinational technology and investment group in their search for a Chief Legal Officer / Legal Counsel based in London. This is a rare opportunity to lead the legal function for an organization with a diverse international portfolio spanning financial services, cybersecurity, and technology sectors.

Our client operates across multiple jurisdictions and manages complex M&A activity, investment transactions, and corporate structuring. As their senior legal leader, you will serve as trusted advisor to the founder and executive team while providing hands-on legal support across the group's holdings.

This role offers hybrid working arrangements with remote flexibility.

Responsibilities

• Lead legal execution of M&A and investment transactions including due diligence, structuring, term sheets, share purchase agreements, and closing processes
• Structure holding and investment vehicles (fund and SPV structures) with consideration for cross-jurisdictional and tax implications
• Oversee corporate governance for the group and portfolio companies including board management, corporate policies, capitalization tables, and employee stock option plans
• Manage external legal counsel across multiple jurisdictions and control legal spend budgets
• Draft and negotiate commercial contracts including partnerships and supplier agreements
• Own compliance and regulatory matters including financial licensing, GDPR, data protection, and AML requirements where applicable
• Manage risk, disputes, and litigation matters
• Support fundraising activities and serve as legal point of contact for investors

What We're Looking For

• Qualified lawyer with current practising certificate in England & Wales
• Extensive post-qualification experience with proven track record leading complex M&A transactions
• Demonstrated experience operating as senior legal adviser to executive leadership teams
• Proven track record of cross-border transactions and working within international organizational structures
• Strong expertise in deal-structuring and corporate law
• Fluent English required; Hebrew is a plus
• Ability to work at pace and independently manage multiple concurrent transactions
• Strategic thinker who can balance hands-on execution with advisory responsibilities
