Member of Legal Staff, Corporate Counsel

Our talent team at Get A Job.ai is representing a confidential AI technology company in their search for a corporate counsel to join their legal operations team. This is a remote position based in the United States with optional office access in San Francisco.

We're seeking an experienced attorney who can combine transactional precision with forward-thinking legal operations. You'll drive corporate matters from initiation through closing while building scalable, technology-enabled workflows that reduce manual effort and improve team efficiency.

Responsibilities

• Support venture financings, secondary transactions, board resolutions, and stockholder approvals, including document drafting and coordination with outside counsel
• Own transaction execution end-to-end: signature management, closing checklists, document circulation, closing sets, and post-closing deliverables
• Maintain organized corporate records and data rooms with current, accurate documentation
• Manage corporate governance and entity administration including state filings, annual reports, minute books, organizational documents, and subsidiary records
• Administer cap tables, equity plans, and equity grants including issuances, exercises, transfers, cancellations, and reconciliation
• Draft and manage routine corporate and legal documents independently, exercising sound judgment on escalation
• Design AI-enabled legal intake and triage workflows optimized for asynchronous communication environments
• Build self-service tools, templates, playbooks, and automation for recurring processes such as NDAs, approvals, and signature workflows
• Identify opportunities to make legal functions faster, more accurate, and more scalable through technology

What We're Looking For

Required:

• Significant experience supporting venture capital financings, M&A, or similar corporate transactions with deep knowledge of transaction documents, approval processes, and closings
• Strong experience with corporate governance, entity management, state filings, cap table administration, and equity management
• Exceptional organizational skills and attention to detail with ability to independently drive matters to completion
• Strong drafting, proofreading, project management, and communication capabilities
• Genuine interest in AI, legal technology, workflow design, and automation
• Sound judgment and ability to identify issues requiring escalation or outside counsel involvement
• Hands-on, collaborative approach with willingness to handle both legal and operational responsibilities
• Comfort operating autonomously in fast-paced, highly asynchronous work environments

Preferred:

• JD plus 3+ years of corporate counsel experience across law firm and in-house settings supporting venture transactions
• Experience supporting venture-backed or high-growth technology companies
• Hands-on experience building workflows with AI tools, automation platforms, messaging integrations, or contract management systems
• Track record of improving or scaling legal processes through technology and automation

Pay

Pay via Get A Job.ai: $150,000–$180,000 base salary. The position includes equity compensation and potential performance-based bonuses subject to company policies.
