About This Opportunity
Our talent team is representing a confidential EdTech organisation in their search for a Share Plans Senior Specialist. This part-time role (four days per week) offers the chance to own employee equity administration and company secretarial compliance for a scaling technology business with operations across multiple jurisdictions.
You'll serve as the subject-matter expert on employee equity programmes, working closely with Legal, Finance, People teams, and external advisers. This is a specialist position requiring sound judgment, autonomy, and meticulous attention to detail in managing equity grants, exercises, and statutory compliance.
Responsibilities
Equity and Share Plan Administration:
- Own end-to-end employee equity documentation: option agreements, exercise notices, and related correspondence
- Design and implement equity management processes for grant issuances and exercises
- Maintain and update equity management platforms (Carta) to ensure accurate cap tables and option ledgers
- Maintain statutory share registers and related records
- Coordinate ERS annual returns and HMRC filings with external advisers
- Support employees through option exercises, serving as primary point of expertise
- Track vesting schedules, leaver provisions, and good/bad leaver determinations
- Proactively identify grant and exercise windows, filing deadlines, and compliance requirements
- Support equity-related aspects of M&A or restructuring transactions
Company Secretarial:
- Prepare board and shareholder resolutions and written consents across UK and German entities
- Maintain accurate statutory registers and corporate records for UK Companies House and German entities
- File share allotments, confirmation statements, change of officer forms, and routine submissions on time
- Organise and minute board meetings, circulate papers, and maintain governance calendar
- Support in managing group structure, tracking entity status and cross-border governance requirements
- Manage external company secretarial providers and German notaries/advisers
- Maintain corporate approvals library and ensure proper document storage
What We're Looking For
Required:
- Solid experience in equity administration or company secretarial role (in-house or at a law firm/corporate services provider)
- Track record of independently owning processes end-to-end and exercising judgment in complex situations
- Strong understanding of UK employee share schemes (EMI options, CSOP, or similar) and HMRC reporting cycles
- Experience with Carta or comparable equity management platforms (Ledgy, Global Shares)
- Strong organisational skills and ability to manage multiple concurrent processes with firm external deadlines
- Ability to assess risk, make independent prioritisation decisions, and know when to escalate
- Excellent written communication and confidence drafting complex governance documents independently
Desirable:
- Experience with Companies House filing and UK statutory compliance for private companies
- Exposure to cross-border or multi-entity group structures
- Exposure to German corporate or employment law, or working with German advisers
- CGI (ICSA) qualification or equivalent, or legal/paralegal background with strong governance expertise
