About This Opportunity
We are representing a confidential global workforce solutions organization in their search for a Regulatory Affairs & Entity Corporate Governance Senior Manager. This is a 12-month fixed-term contract covering a maternity leave, working remotely as an individual contributor.
Our client operates across multiple jurisdictions, managing complex regulatory environments and corporate governance requirements for a diverse portfolio of international entities. This is a strategic leadership role requiring deep expertise in global compliance frameworks and entity management.
Responsibilities
Regulatory Strategy
- Develop and execute comprehensive regulatory strategy aligned with business objectives and global operations
- Monitor and interpret global regulatory changes across jurisdictions, assessing impact on organizational policies and procedures
- Ensure compliance with applicable laws, regulations, and industry-specific requirements
- Collaborate with internal teams to implement regulatory initiatives and effective risk management practices
- Serve as primary liaison with regulatory authorities, leading filings and inquiries
Entity Corporate Governance
- Build and oversee corporate governance framework ensuring adherence to best practices, Company Law requirements, and evolving regulations (including UBO requirements) for all legal entities globally
- Maintain accurate records of all corporate entities, including organizational structures, board and shareholder information, and jurisdictional compliance
- Ensure team prepares and maintains corporate governance documents including board meeting agendas, minutes, resolutions, and annual returns
- Oversee annual governance activities and ensure timely, accurate preparation of board minutes, corporate resolutions, and annual filings
- Support entity management initiatives including formations, mergers, dissolutions, and reorganizations
- Ensure statutory filings, regulatory reports, and annual disclosures are submitted timely for all entities
- Coordinate with local in-country counsel and service providers to manage corporate changes and regulatory filings
Risk Management
- Identify and assess regulatory and governance risks, developing mitigation strategies
- Integrate governance and compliance risks into enterprise risk management framework
- Conduct regular risk assessments, corporate governance audits, and compliance checks
Leadership and Collaboration
- Lead, mentor, and develop a high-performing global regulatory and corporate governance team
- Work cross-functionally with Legal, Operations, HR, IT, and Finance teams
- Serve as strategic advisor to senior leadership on regulatory and governance issues
What We're Looking For
Education
- Master's degree in Law or Corporate Governance, OR
- Degree in Business, Finance, or related field with recognized corporate governance certification (e.g., CSQS, formerly ICSA)
Experience
- 8+ years in corporate governance, corporate legal compliance, and global legal entity management
- Experience within multinational organizations with high volumes of subsidiaries across different regions
- Proven track record managing corporate legal compliance globally across multiple jurisdictions, particularly EMEA
- Ability to navigate various legal systems, legal entity structures, and local statutory filing obligations
- Expertise in managing regulatory affairs with focus on licensing
- Experience with Employer of Record (EOR) models highly beneficial

- Deep knowledge of regulatory frameworks and corporate governance best practices, particularly across EMEA
- Strong understanding of international entity management requirements and multi-jurisdictional regulations
- Excellent organizational and project management skills with focus on regulatory strategy and risk mitigation
- Exceptional communication, presentation, and negotiation skills with ability to influence at all organizational levels
- Strong analytical and problem-solving capabilities with proactive, strategic mindset
- Ability to manage multiple priorities in fast-paced environments
