About This Opportunity

We are representing a confidential global technology organization in their search for a Director, Corporate Counsel. This is a strategic legal leadership role supporting corporate governance, M&A transactions, equity programs, financing arrangements, and public company compliance. Our client is seeking a sophisticated corporate attorney who can provide hands-on counsel while managing complex cross-functional initiatives.

This is a remote position based in the USA, offering the opportunity to work directly with senior leadership on high-impact corporate matters.

Responsibilities

  • Lead corporate governance matters including board and committee practices, corporate policies, delegation of authority, and maintenance of corporate formalities
  • Prepare and review board and committee materials, resolutions, consents, minutes, and related governance documentation; support corporate secretarial functions
  • Oversee global legal entity structure and corporate housekeeping, including formations, dissolutions, reorganizations, and ongoing maintenance in coordination with Finance and Tax teams
  • Manage legal workstreams for mergers & acquisitions and strategic transactions, including structuring, due diligence, negotiation of definitive documents, and integration support
  • Draft, review, and negotiate transaction documents including LOIs, purchase agreements, disclosure schedules, and ancillary agreements
  • Provide legal support for equity plans and equity-related corporate matters, including plan documentation, amendments, governance approvals, and coordination with HR and Finance on equity administration
  • Support credit agreements and financing arrangements, including negotiation and review of credit facilities, guarantees, security documents, and related closing deliverables
  • Advise on debt and equity financing transactions, including term sheets, diligence, negotiation of definitive documentation, and closing execution
  • Support SEC compliance and public company reporting, including drafting and reviewing Forms 10-K, 10-Q, 8-K, and proxy materials in coordination with Finance, Investor Relations, and external counsel
  • Partner with internal stakeholders on disclosure controls, governance processes, and transaction-related communications and approvals
  • Manage relationships with outside counsel to ensure high-quality, cost-effective legal support
  • Develop and deliver training programs for employees and executives on relevant corporate legal topics

What We're Looking For

  • Juris Doctor (JD) from an accredited U.S. law school and active license to practice law in at least one U.S. jurisdiction in good standing
  • 8-12 years of experience as an attorney with a combination of significant law firm and in-house experience, including substantial corporate and transactional work
  • Demonstrated experience with corporate governance and entity management, including preparing corporate approvals and maintaining corporate records
  • Significant experience leading and executing mergers & acquisitions and other complex corporate transactions
  • Experience supporting equity plans and equity-related corporate matters, with familiarity working cross-functionally with HR and Finance teams
  • Experience advising on and negotiating credit agreements and financing transactions, including debt and/or equity financings
  • Public company experience required, including hands-on involvement with SEC reporting and disclosure (10-K/10-Q/8-K and proxy materials) and familiarity with disclosure controls and related governance requirements
  • Strong negotiation and conflict resolution skills with both internal and external stakeholders
  • Meticulous attention to detail with an organized approach to problem identification and solution development
  • Creative and flexible thinking with focus on business-oriented outcomes; strong commercial acumen
  • Excellent written and oral communication skills, with ability to clearly articulate recommendations on complex legal issues
  • Highly collaborative style with proven ability to manage projects involving multiple stakeholders

Pay

Compensation for this role varies by geographic location within the United States. Our client uses a zone-based compensation structure that reflects regional market differences. The compensation ranges represent total target compensation (TTC), which includes base salary plus performance-based bonus:

  • Zone 1 (San Francisco Bay Area, New York City Boroughs): $296,300–$550,200
  • Zone 2 (Washington, California excluding SF Bay Area): $271,600–$504,300
  • Zone 3 (Texas, Illinois, North Carolina, Colorado, Massachusetts, Pennsylvania, Virginia, Oregon, Nevada, Hawaii, New York excluding NYC): $246,900–$458,400
  • Zone 4 (All other US locations): $214,800–$398,900
