Audit and Risk Committee

About This Volunteer Opportunity

We are representing a confidential nonprofit organization seeking volunteer committee members for their Audit and Risk Committee. This is a strictly volunteer position with no compensation.

The committee assists the Board of Trustees in overseeing financial reporting processes, internal controls, external auditor relationships, compliance monitoring, and risk management practices. Members serve two-year terms with the possibility of renewal up to four consecutive terms.

Responsibilities

• Provide oversight of the financial reporting process and system of internal control
• Evaluate external auditors' qualifications, independence, and performance
• Monitor the adequacy and effectiveness of compliance processes with laws, regulations, and the code of ethics
• Assess the adequacy and effectiveness of enterprise risk management practices
• Review pre-read materials including audit firm communications, draft financial statements, and risk management information
• Participate in three annual meetings (four hours each) with prepared discussion of materials

What We're Looking For

Required:

• Financial literacy
• Ability to review and analyze financial materials in advance of meetings
• Commitment to attend three four-hour meetings annually

• Finance or accounting backgrounds
• Enterprise risk management
• Technology/IT expertise
• Investment or endowment management
• Publishing operations
• Health plan administration
• Strategic planning
• Diversity, equity and inclusion
• Human resources
• Legal expertise
• Not-for-profit industry knowledge
• Leadership roles
• Marketing or public relations

Financial Expert qualification (at least one committee member must meet these criteria):

• Understanding of generally accepted accounting principles and financial statements
• Ability to assess application of accounting principles for estimates, accruals, and reserves
• Experience preparing, auditing, analyzing, or evaluating complex financial statements
• Understanding of internal controls and procedures for financial reporting
• Understanding of audit committee functions
