Banking & Finance Derivatives Counsel

Responsibilities

We are representing a confidential financial services organization seeking an experienced banking and finance derivatives counsel. In this role, you will:

• Advise on banking, finance, treasury, and derivatives matters, delivering commercially focused legal guidance across lending, structured finance, cross-border transactions, and risk management activities
• Prepare, review, negotiate, and manage complex financing and trading documentation, including loan agreements, security arrangements, ISDA documentation, collateral agreements, and guarantees
• Lead negotiations with financial institutions, corporate borrowers, lenders, investors, and counterparties to facilitate financing transactions and derivatives arrangements
• Provide legal and regulatory advice on issues affecting banking, lending, treasury, and derivatives businesses, ensuring compliance while balancing commercial objectives
• Collaborate with cross-functional stakeholders including legal, treasury, finance, risk, compliance, trading, and operations teams to support transaction execution and regulatory initiatives
• Assess legal, regulatory, and commercial risks across complex transactions, offering practical, solutions-oriented advice in dynamic financial services environments

What We're Looking For

• Qualified lawyer admitted to practice in Australia with substantial experience in banking and finance, derivatives, or financial markets
• Proven experience advising on complex financing and financial markets matters, including lending, structured and acquisition finance, treasury, cross-border transactions, and OTC derivatives
• Strong technical drafting and negotiation skills with experience preparing finance and trading documentation, including loan agreements, LMA documentation, security and collateral arrangements, and ISDA documentation
• Demonstrated ability to advise financial institutions, investment firms, corporates, and other market participants
• Excellent stakeholder management, communication, and analytical skills
