Carta is seeking a Senior Paralegal, Contracts to join our growing legal operations team in Toronto, Ontario, Canada. In this full-time position, you'll drive efficiency and quality in contract management for a leading private markets infrastructure platform.

Position Summary

As Senior Paralegal, Contracts at Carta, you'll be a critical operations leader within our legal team, managing the intake, review, and execution of investment-related agreements that fuel the private capital ecosystem. You'll work at the intersection of legal rigour and operational excellence, ensuring that NDAs, fund documents, and transactional materials move through our workflow with both speed and precision. Your role combines hands-on contract work with process leadership, supporting attorneys while maintaining the quality standards that our institutional clients demand.

Responsibilities

• Manage the full intake process for investment agreements and NDAs, prioritizing documents to meet client turnaround commitments and keep the contract queue moving efficiently
• Conduct initial review and markup of transactional documents, identifying key commercial and legal issues for attorney review
• Draft and revise fund-related agreements and investor communications under attorney supervision
• Establish and maintain client-facing contract workflows, including document portals and execution tracking systems
• Coordinate with clients and internal teams to guide contracts through negotiation and execution
• Ensure all deliverables meet Carta's standards for clarity, accuracy, and commercial soundness

What We're Looking For

• A minimum of 4 years' experience in transactional legal practice, in-house counsel, or corporate law, with hands-on exposure to commercial contracting and investment documentation
• Ability to perform under pressure in high-volume environments, managing competing deadlines without compromising quality
• Strong foundation in contract law and commercial deal structures, paired with practical judgment about when to escalate and when to execute
• Polished written and verbal communication skills that make complex legal concepts clear to both lawyers and business stakeholders
• Ownership mentality—you identify process gaps, propose solutions, and drive improvements across your team
• Familiarity with private capital markets, fund formation, or investor workflows is valued
