Carta, a leading software platform connecting the private capital ecosystem, is seeking a Senior Paralegal, Contracts to support its legal operations at full-time positions in Hamilton, NJ; Seattle, WA; and Sandy, UT. Working as part of our specialized contracts legal team, you'll manage high-volume investment document workflows while partnering with our legal counsel and technology solutions.

About the Role

In this full-time position, you'll serve as a critical operator within Carta's contracts legal function, supporting the processing of investment agreements, non-disclosure agreements, and related transactional documentation. Reporting to a Supervising Attorney based in the United States, you'll partner with our legal team and advanced AI-supported systems to handle complex commercial workflows at a scale that exceeds traditional legal practice capacity. This role bridges legal expertise with operational efficiency—enabling Carta's portfolio companies and fund clients to move faster while maintaining commercial rigor.

Compensation for this role reflects market rates and your location. We provide a competitive salary with equity participation for all full-time team members and comprehensive benefits. Annual compensation (salary only, before any applicable overtime) ranges from $80,920–$101,165 in Hamilton, NJ; $90,440–$113,067 in Seattle, WA; and $76,160–$95,216 in Sandy, UT. Final offers depend on your experience, qualifications, and specific location.

Core Duties

• Perform rapid intake, review, and initial processing of investment-related non-disclosure agreements and transaction documents, ensuring prompt client response times and minimal queue delays
• Provide hands-on drafting support and general legal assistance to Carta's US-based attorneys, handling routine work so legal counsel can concentrate on complex matters requiring specialized judgment
• Establish, manage, and oversee client-facing document workflows and portals, guiding agreements through signature execution with consistent professionalism and attention
• Maintain rigorous quality standards in all contract deliverables, balancing rapid turnaround with the precision and commercial insight that private capital investors and fund managers expect

Requirements

• A minimum of 3 years of hands-on experience in a transactional law practice, corporate legal team, or in-house commercial legal department, including direct involvement in commercial contract and investment agreement drafting and review
• Demonstrated ability to excel in fast-paced, deadline-intensive environments where multiple competing priorities must be managed without compromising quality
• Solid grasp of contract law fundamentals and commercial negotiation principles, with sound judgment about when to escalate issues versus proceeding efficiently
• Strong written and verbal communication skills; colleagues and clients receive clear, concise information without requiring follow-up clarification
• Proactive, solutions-oriented approach to work; you identify operational gaps and recommend improvements to team processes
• Familiarity with private market structures, fund administration, or investor onboarding workflows is valued but not required
