Responsibilities
We are representing a confidential law firm specializing in healthcare transactions. This Corporate Paralegal role focuses on supporting complex transactional matters in a fully remote capacity. You will work directly with attorneys to execute sophisticated corporate projects from start to finish.
Your day-to-day responsibilities include:
- Preparing and filing formation, amendment, dissolution, and maintenance documents for corporations, LLCs, and other business entities
- Conducting thorough due diligence for mergers, acquisitions, and partnership buyouts, including lien searches, corporate record reviews, and document analysis
- Drafting, proofreading, and organizing transactional documents such as purchase agreements, partnership agreements, and shareholder agreements
- Managing closing processes by preparing checklists, coordinating document execution, and assembling final closing binders
- Performing UCC and other lien searches, summarizing results, and preparing payoff letters and lien release documentation
- Supporting partnership buyout transactions while ensuring regulatory compliance
- Serving as a liaison between attorneys, clients, and stakeholders throughout transactions
- Preparing and submitting regulatory filings in accordance with state and federal requirements
- Conducting legal research on corporate governance and healthcare compliance matters
What We're Looking For
The ideal candidate brings 3-5 years of corporate paralegal experience with demonstrated expertise in mergers, acquisitions, and partnership buyouts. Healthcare transactional experience, particularly with dental or medical practice transactions, is strongly preferred.
Required qualifications:
- Bachelor's degree and/or paralegal certificate from an ABA-accredited program
- 3-5 years of corporate paralegal experience in transactional matters
- Proficiency in legal research and document preparation
- Exceptional organizational skills and meticulous attention to detail
- Proven ability to manage multiple transactions simultaneously and meet strict deadlines
- Strong written and verbal communication skills
- Proficiency with Microsoft Office Suite and document management software
- Self-motivated work style with ability to thrive in a fully remote environment
