Principal Corporate Law & Corporate Financing (m/f/d)

About This Opportunity

We are representing a confidential technology-driven transportation company seeking a Principal Corporate Law & Corporate Financing professional to join their legal team in Berlin, Germany. This senior role will drive corporate governance frameworks and coordinate sophisticated financing activities across a growing international organization.

As the principal legal advisor for corporate matters, you will ensure governance excellence while managing complex credit facilities and shareholder coordination. This position reports directly to executive leadership and requires both strategic thinking and hands-on execution.

Responsibilities

• Design and maintain corporate governance frameworks including rules of procedure, signature regulations, powers of attorney, and approval structures
• Oversee cap table management and equity governance, serving as the single source of truth in coordination with Finance, Tax, and People teams
• Coordinate shareholder meetings, board committees, and written resolutions; manage director appointments and changes
• Draft, review, and negotiate complex loan and credit agreements including revolving credit facilities, term loans, and syndicated financing arrangements
• Manage the complete financing lifecycle from origination through amendments, refinancings, extensions, and compliance reporting
• Navigate legal implications of corporate reorganizations and M&A transactions on existing financing structures

What We're Looking For

• Fully qualified German lawyer (Volljurist) with active bar admission
• 8+ years of professional experience in corporate and financing law, preferably gained in international corporate legal departments and/or law firms
• Demonstrated expertise in negotiating and drafting shareholder agreements, guarantees, security documents, and intercreditor arrangements
• Business fluent proficiency in both German and English
• Strong analytical capabilities with excellent communication and negotiation skills at C-level
• Proven ability to manage multiple complex workstreams simultaneously
• Hands-on mentality with high self-motivation and keen awareness of governance risks and practical solutions
