Senior Manager- Equity Tax

About This Opportunity

We are representing a confidential CFO advisory firm seeking a Senior Manager to lead their Equity Reward Tax practice. Our client operates across the UK, delivering integrated finance and tax advisory services to CFOs and senior stakeholders in private equity-backed and listed businesses. This is a senior-level role where you'll advise on employee share plans and equity incentives throughout the deal lifecycle.

Responsibilities

• Lead strategic client engagements involving equity incentive design, implementation, and governance for private equity-backed and publicly listed companies
• Advise on EMI, CSOP, growth shares, management incentive plans, RSUs, LTIPs, option plans, and hybrid structures, addressing tax, legal, and accounting implications
• Deliver commercially grounded advice aligned with corporate transactions including investment rounds, exits, and IPOs
• Collaborate with tax, legal, corporate finance, and valuation teams to deliver integrated solutions
• Implement AI-enabled tools across modelling, documentation, and client communications to drive scalable delivery
• Lead business development across key accounts and industry sectors, identifying cross-service opportunities
• Develop and mentor team members, building succession pipelines and fostering technical excellence
• Contribute to new proposition development in response to evolving market and regulatory requirements

What We're Looking For

• Professional qualification such as CTA, ACA, or qualified solicitor (preferred)
• Typically 8+ years of experience advising on UK equity incentives, with exposure to both private and listed companies in a Deals environment
• Deep understanding of equity design, implementation, tax treatment, and exit scenarios
• Specific experience with private equity-backed structures
• Proven leadership of complex, multi-disciplinary advisory projects involving CFO, Remuneration Committee, or investor engagement
• Experience using AI and automation in modelling, reporting, or documentation is advantageous
• Commercial acumen with demonstrated ability to grow accounts and originate new opportunities
• Strong people leadership and team development capability
• Excellent communication, negotiation, and relationship management skills
