Commercial Counsel

About This Opportunity

Our talent team is representing a confidential SaaS organization in a search for a Commercial Counsel to join their growing legal function. This is an excellent opportunity for an attorney with strong commercial contracting experience to partner directly with go-to-market teams and drive strategic deals in a fast-paced technology environment.

Reporting to the General Counsel, you'll serve as the primary legal partner to sales leadership, applying your negotiation skills and business judgment to enable growth while managing risk effectively.

Responsibilities

• Draft, review, and negotiate commercial agreements including SaaS subscription agreements, MSAs, SOWs, RFPs, and NDAs
• Serve as primary legal point of contact for the Sales team, partnering with Account Executives and leadership throughout the deal cycle to structure terms and close deals efficiently
• Collaborate with Deal Desk, Revenue Operations, and Finance on pricing, discounting, and revenue-sensitive deal terms
• Advise on data privacy and security terms in customer agreements, coordinating with Privacy and Security teams as needed
• Own and continuously refine contract templates, fallback positions, and negotiation playbooks to improve consistency and reduce turnaround time
• Negotiate and manage partner, reseller, and vendor/procurement agreements supporting GTM and business operations
• Support contract renewals, upsells, and amendments; field post-signature questions on contract interpretation from Customer Success and Account Management
• Identify and implement process improvements to streamline and scale contracting, including AI-assisted contract drafting and review

What We're Looking For

• 4+ years of experience negotiating and structuring commercial agreements with a focus on SaaS/technology transactions (in-house and/or law firm background considered)
• JD from an accredited law school and active membership in at least one U.S. state Bar in good standing
• Developed knowledge of core SaaS commercial concepts and working knowledge of data privacy frameworks
• Strong business judgment and comfort making pragmatic, risk-adjusted decisions independently and under time pressure
• Excellent communication skills with ability to translate legal concepts for non-legal stakeholders and build trusted relationships with Sales and GTM partners
• Comfortable operating in a fast-paced environment with competing priorities and high volume of concurrent matters
• Experience with AI-assisted contracting tools preferred
