Associate General Counsel

About This Opportunity

We are representing a confidential healthcare technology organization in their search for an Associate General Counsel to serve as Lead Privacy and Product Counsel. Our client operates at the intersection of healthcare data, digital engagement platforms, and life sciences—requiring sophisticated legal guidance as they navigate complex regulatory environments while scaling their business.

This role reports to the General Counsel & Chief Privacy Officer and demands a legal professional who combines deep privacy expertise with commercial transaction experience in advertising technology, data licensing, and digital media. You'll be the primary legal point of contact across the organization, balancing risk mitigation with business enablement in a fast-paced, innovative environment.

Responsibilities

• Provide legal counsel on commercial matters involving advertising technology integration, third-party data licensing and sales, technology products and services, digital media, and privacy compliance
• Draft and negotiate complex commercial agreements including master services agreements, statements of work, NDAs, insertion orders, data and software licensing agreements, and vendor contracts
• Independently manage negotiations with data and technology providers, advertising platforms, publishers, and ad tech ecosystem partners
• Serve as first point of contact for organization-wide legal matters and coordinate with affiliate counsel to ensure cohesive legal strategy
• Develop and implement legal and privacy workflow processes, create compliance templates, and deliver training to sales, product, and key stakeholder teams
• Advise cross-functional teams on privacy, data use and licensing, and compliance matters while identifying and mitigating commercial legal risks
• Partner with internal teams and senior leadership to provide strategic legal guidance, facilitate cross-departmental communication, and promote informed decision-making
• Support additional project-based work within the legal department as needed

What We're Looking For

• JD from an accredited law school and active license to practice law in at least one U.S. state (California, New York, or Massachusetts strongly preferred)
• 6+ years of relevant legal experience in law firm or in-house settings
• Strong background in U.S. state and federal privacy laws and compliance frameworks
• Demonstrated experience with SaaS product licensing, third-party data licensing, and product sales agreements
• Experience with HIPAA/HITECH regulations preferred
• Intellectual property experience, particularly licensing matters
• In-house experience at an advertising agency, marketing agency, digital media company, or technology organization is a plus
• Familiarity with global data and privacy matters a plus
• Strong business acumen across marketing, finance, and analytics/data science functions preferred
• Initiative, adaptability, analytical thinking, and commitment to excellence in client service
