Corporate Counsel – Venture Financing

About This Opportunity

We are representing a confidential legal services organization in their search for a Corporate Counsel specializing in venture financing. This is a fully remote position available to candidates anywhere in the United States.

Our client serves innovative startup, venture-backed, and growth-stage companies on sophisticated transactional and corporate matters. They combine high-level legal expertise with modern workflows, enabling attorneys to focus on strategic counseling, negotiation, and substantive legal judgment.

Responsibilities

• Lead venture capital and emerging company financing transactions from structuring through closing
• Draft, review, negotiate, and manage financing and corporate transaction documents
• Advise companies on corporate governance, equity issuances, and general corporate matters
• Handle company formations, board and stockholder approvals, capitalization matters, and related documentation
• Provide guidance on preferred stock financings, SAFEs, convertible notes, and other financing structures
• Communicate directly with founders, executives, investors, and opposing counsel
• Identify transaction risks and deliver clear, commercially practical legal recommendations
• Independently manage multiple active transactions and corporate matters
• Collaborate with a growing legal team committed to efficient, high-quality work

What We're Looking For

• 4+ years of direct venture financing and general corporate experience
• Significant hands-on experience with venture-backed and emerging company transactions
• Strong corporate drafting, transaction management, negotiation, and client counseling skills
• Ability to independently manage venture financings and related corporate matters
• Active bar admission in any U.S. jurisdiction
• Experience representing technology companies, startups, investors, or venture-backed businesses strongly preferred
• Background at a sophisticated corporate law firm or comparable transactional practice preferred

Pay

Pay via Get A Job.ai: $235,000 - $275,000 per year
