Transaction Legal Counsel

About This Opportunity

We are representing a confidential fintech platform operating in the private markets space. Our client is scaling rapidly and seeks a Transaction Legal Counsel to join their legal and execution team on a contract basis. This is a remote position based in the United Kingdom.

This role offers direct impact on transaction quality and operational efficiency within a fast-moving, tech-enabled environment serving institutional clients across multiple jurisdictions.

Responsibilities

• Draft, review, and negotiate legal documentation for secondary transactions and financing arrangements, including NDAs, LOIs, Purchase & Sale Agreements, Transfer Agreements, Credit Agreements, and related contractual materials
• Interpret fund documentation such as LPAs, offering materials, and side letters to identify transferability requirements, consent processes, and closing parameters
• Manage global closing workflows by coordinating with buyers, sellers, fund managers, administrators, custodians, lenders, and compliance teams to ensure timely execution of legal and operational deliverables
• Oversee KYC/AML onboarding processes for all counterparties, including identity verification, beneficial ownership review, and regulatory compliance requirements
• Enhance legal infrastructure by refining templates, playbooks, checklists, and standardised processes to improve consistency and reduce transaction friction
• Provide clear, concise guidance to internal teams on legal requirements, transaction feasibility, and risk considerations
• Collaborate across business units to ensure alignment between legal, operations, deal teams, and platform workflows

What We're Looking For

Required:

• 5+ years post-qualification experience in transactional legal, compliance, transaction services, or financial services roles, ideally within investment banks, Big Four advisory, private equity, or in-house legal teams
• Strong familiarity with US and/or UK law-governed agreements in a cross-border context
• Experience supporting or managing multi-party transaction execution and closing processes
• Working knowledge of KYC/AML and regulatory compliance in financial transactions
• Strong organisational and communication skills with the ability to manage multiple workstreams simultaneously

Preferred:

• Experience in financial services, private markets, or fintech platforms
• Experience coordinating multi-party closings involving lenders, fund managers, administrators, custodians, and institutional investors
• Comfort working across international time zones and cultures
