Senior Counsel

Fujifilm is seeking a Senior Counsel to join our corporate legal team in Wake Island, Honolulu. This full-time role offers the opportunity to provide strategic legal guidance to FUJIFILM Holdings America Corporation and its software and information technology services divisions.

About the Role

As Senior Counsel at Fujifilm, you'll serve as a trusted advisor to executives across our electronics, software, and IT services operations. Reporting to the Division General Counsel for Electronics, you'll handle high-level corporate matters, transactional work, and strategic legal initiatives that drive business growth and mitigate organizational risk.

Responsibilities

• Advise leadership on corporate governance, regulatory compliance, and strategic business decisions
• Oversee corporate transactions, including mergers, acquisitions, and joint ventures
• Draft, review, and negotiate key corporate agreements and contracts
• Support M&A activities and due diligence processes
• Provide counsel on employment law, intellectual property, and commercial matters
• Collaborate with external counsel on complex or specialized legal issues
• Maintain legal compliance across software and information technology divisions
• Assist with corporate filings, board resolutions, and regulatory documentation as needed

Skills & Qualifications

• Juris Doctor (JD) from an accredited law school
• Active bar license and in good standing
• 8+ years of experience in corporate law, with demonstrated expertise in transactional work
• Strong knowledge of M&A, corporate governance, and business law
• Excellent drafting, negotiation, and analytical skills
• Ability to manage multiple priorities and work independently
• Strong communication skills and executive presence
• Experience working in technology, software, or IT services industries is a plus
