This full-time, on-site position requires four days per week in our headquarters and provides leadership of securities compliance and corporate governance for a public company.
About the Role
As a key member of our Legal & Compliance leadership team, you will oversee all aspects of public company securities compliance and corporate governance. This role balances strategic legal counsel to the board and executive leadership with responsibility for administering the compliance programs and governance frameworks that support our operations and stakeholder relationships.
What You'll Do
- Direct public company securities compliance and SEC regulatory requirements
- Oversee corporate governance, board operations, committee administration, and shareholder communications
- Prepare, review, and advise on SEC filings, proxy statements, and disclosure documents
- Counsel on corporate transactions, securities matters, and compliance-related legal issues
- Manage corporate records, stock transfer administration, and board documentation
- Identify and mitigate legal and compliance risks in securities and governance areas
What We're Looking For
- Juris Doctor (J.D.) and active bar membership (California or multi-state preferred)
- Substantial experience in securities law, corporate governance, or senior in-house counsel roles
- Strong knowledge of SEC regulations, stock exchange rules, and public company compliance
- Excellent written and oral communication skills for board-level and regulatory audiences
- Proven leadership of legal teams and delivery of complex compliance programs
- Strategic thinking, sound judgment, and commitment to compliance excellence
