Managing Legal Counsel

Wolters Kluwer is seeking an experienced Managing Legal Counsel to join its Corporate Performance & ESG division in Philadelphia, supporting one of the company's flagship global operating units. This full-time, on-site role is based at the William Penn Annex East in Philadelphia County, Pennsylvania.

About the Role

As Managing Legal Counsel, you will serve as a trusted legal advisor to the Corporate Performance & ESG (Environmental, Social, and Governance) business, which delivers technology-enabled expert solutions covering financial performance, regulatory reporting, social responsibility management, and environmental governance for clients worldwide. You will guide commercial and strategic decisions while helping the division operate with integrity and confidence across global markets.

Key Responsibilities

• Provide practical legal counsel on commercial agreements, technology licensing, and software-as-a-service arrangements
• Advise business leaders on regulatory, compliance, and ESG-related legal matters affecting reporting and governance solutions
• Draft, review, and negotiate contracts with customers, partners, and vendors
• Identify and mitigate legal risk while supporting the division's growth and product initiatives
• Collaborate with cross-functional teams across legal, finance, and product organizations

Qualifications

• Juris Doctor (JD) degree and active admission to a U.S. state bar in good standing
• Substantial experience practicing as in-house or law firm counsel, ideally supporting technology, software, or information-services businesses
• Strong command of commercial contracting, regulatory frameworks, and risk management
• Excellent written and verbal communication skills, with the ability to translate complex legal issues into clear business guidance
• Ability to work on-site in Philadelphia, Pennsylvania
