Senior Corporate Law & Corporate Financing Expert (m/f/d)

About This Opportunity

We are representing a confidential mobility technology company in their search for a Senior Corporate Law & Corporate Financing Expert to join their legal team in München. This role combines corporate governance leadership with structured financing expertise, serving a rapidly scaling international organization.

As the successful candidate, you will own the legal framework for group-wide corporate governance while managing the legal dimensions of corporate financing activities. This is a high-impact position reporting into senior leadership with direct exposure to C-level stakeholders.

Responsibilities

• Lead corporate governance implementation across the group, including rules of procedure, signature authority, powers of attorney, and approval frameworks
• Maintain cap table management and equity governance structures, serving as the single source of truth in coordination with Finance, Tax, and People functions
• Coordinate shareholder meetings, committee work, and board activities—convening sessions, managing written resolutions, documenting minutes, and processing director changes
• Draft, review, and negotiate complex financing agreements including revolving credit facilities, term loans, and syndicated loan structures
• Supervise the complete financing lifecycle: amendments, refinancings, extensions, covenant compliance, and reporting obligations
• Coordinate legal aspects of corporate reorganizations and M&A transactions as they impact financing arrangements

What We're Looking For

• Fully qualified German lawyer (Volljurist) with active bar membership
• 8+ years of professional experience focused on corporate law, ideally with exposure to financing law, gained in an international corporate legal department or law firm
• Proven hands-on experience negotiating and drafting shareholder agreements
• Willingness and capability to develop expertise in guarantees, security documentation, and intercreditor structures
• Business-fluent proficiency in both German and English
• Strong analytical thinking with confident communication and negotiation skills at executive and C-level
• Demonstrated ability to manage multiple parallel workstreams with competing priorities
• Hands-on mentality, self-motivated approach, and sharp instinct for identifying governance risks and practical solutions
