Principal Corporate Law & Corporate Financing (m/f/d)

About This Opportunity

We are representing a confidential technology-driven mobility organization in their search for a Principal Corporate Law & Corporate Financing professional. This senior role will lead the legal implementation and development of group-wide corporate governance while coordinating all legal aspects of corporate financing activities.

Responsibilities

• Lead corporate governance matters including rules of procedure, signature regulations, powers of attorney, and approval frameworks
• Maintain cap table management and equity governance, ensuring coordination with Finance, Tax, and People teams
• Coordinate shareholder and committee work, including convening meetings, implementation, minutes, and written resolutions
• Manage director changes and board-level governance processes
• Draft, review, and negotiate complex loan and credit agreements such as revolving credit facilities, term loans, and syndicated loans
• Supervise the complete financing lifecycle including amendments, refinancings, extensions, and reporting undertakings
• Coordinate legal implications of reorganizations and M&A transactions on financing structures

What We're Looking For

• Fully qualified German lawyer
• 8+ years of professional experience in corporate and financing law
• Background in an international corporate legal department or law firm environment strongly preferred
• Demonstrated expertise in negotiating and drafting shareholder agreements, guarantees, security documents, and intercreditor structures
• Business fluent in both German and English
• Strong analytical thinking with confident communication and negotiation skills at C-level
• Proven ability to manage multiple complex workstreams simultaneously
• Hands-on mentality with high self-motivation
• Strong judgment regarding governance risks and practical solutions
