The Opportunity

Join a nationally recognized Am Law 100 law firm known for its Life Sciences and Technology Transactions practice. As a Corporate Associate (Licensing), you'll handle complex licensing matters that drive innovation across biotech, pharma, software, and emerging tech. Your work will include structuring, drafting, negotiating, and executing licensing agreements that protect and monetize intellectual property for sophisticated clients.

Your Responsibilities

• Draft and negotiate licensing agreements for technology, software, patents, and IP transfers
• Conduct legal analysis and due diligence on IP licensing transactions
• Advise clients on licensing strategy, IP protection, and commercial transaction structure
• Prepare legal memoranda, term sheets, and supporting documentation for licensing matters
• Collaborate with senior attorneys and clients to refine terms and execute agreements
• Manage multiple concurrent transactions and maintain detailed records and timelines

What You Bring

• At least 3 years of relevant experience in corporate licensing, IP transactions, or technology law
• Strong written and verbal communication skills for explaining complex licensing concepts
• Demonstrated ability in contract drafting and commercial negotiation
• Familiarity with Life Sciences, Technology, or related sectors preferred
• Ability to prioritize and manage multiple matters in a collaborative environment
• Juris Doctor and active state bar membership required
