Equity Capital Markets Attorney

Axiom Talent Platform is hiring an Equity Capital Markets Attorney to join our Corporate and Securities practice. In this full-time position based in the United States, you'll advise corporate clients on complex capital markets transactions and navigate the regulatory landscape that governs public equity offerings.

About the Role

As our Equity Capital Markets Attorney, you will serve as trusted counsel on some of the most significant financial milestones in your clients' histories. Your expertise will span the full spectrum of going-public transactions, from strategic planning through closing and beyond. You'll manage intricate regulatory obligations under federal securities law, guide companies through disclosure requirements, and structure equity offerings to align with clients' business objectives and market conditions.

What You'll Do

• Guide corporations through initial public offerings from inception to listing
• Prepare and manage Securities and Exchange Commission filings and registration materials
• Counsel clients on securities law compliance, disclosure obligations, and regulatory strategy
• Structure equity capital markets transactions and evaluate alternative approaches
• Navigate complex federal securities regulations and evolving public market requirements
• Develop solutions for clients facing regulatory complexity and market pressures

What We're Looking For

• Extensive experience in capital markets law, equity offerings, or SEC regulatory matters
• Deep knowledge of federal securities regulations and public company disclosure requirements
• Proven success advising clients through IPO processes and post-IPO compliance obligations
• Strong legal writing skills and demonstrated ability to manage complex regulatory filings
• Active state bar license and authorization to practice law in the United States
• Outstanding judgment, attention to detail, and comfort thriving in fast-paced transactions
