Transactional Paralegal

Gpac is seeking a results-focused Transactional Paralegal to support our corporate law practice in Arsenal, Allegheny County. This full-time position offers substantial exposure to business transactions, entity management, and corporate law matters, with direct collaboration with experienced attorneys in a professional law firm environment.

About the Role

This Transactional Paralegal position is central to the success of our corporate and finance law practice. You will manage critical transaction documentation, conduct thorough legal research, and coordinate the complex details that enable successful business transactions. Working alongside our attorneys, you'll develop substantive expertise in corporate law while providing direct support to clients and matter teams. Your organizational skills and attention to detail will ensure that transactions move forward smoothly and efficiently through every phase.

What You'll Do

• Draft, review, and revise legal documents, contracts, and closing materials for business transactions
• Support the formation and ongoing governance of business entities
• Assist with mergers, acquisitions, and other significant corporate transactions from initial structuring through closing
• Conduct legal research and due diligence investigations on transaction matters
• Maintain well-organized transaction files, manage documentation, and monitor critical deadlines
• Serve as a liaison with clients, opposing counsel, lenders, and third-party service providers
• Coordinate with title companies, financial institutions, and other transaction service providers
• Prepare and track regulatory filings and corporate governance documentation
• Assist with transaction preparation, review, and closing procedures under attorney supervision

What We're Looking For

• Paralegal certification or demonstrated professional paralegal experience in a law firm setting
• Exceptional attention to detail and strong organizational abilities
• Knowledge of or demonstrated interest in business law, corporate transactions, or commercial matters
• Professional written and verbal communication skills
• Proven ability to manage multiple projects simultaneously and meet strict deadlines
• Comfort with legal research tools, document management systems, and standard business software
• Self-motivation combined with collaborative teamwork and responsiveness to attorney direction
• Ability to maintain strict confidentiality in a professional legal environment
