About the Role
As Senior Counsel for Transactional matters at BDO USA, you'll be essential to our operational and business development needs. You'll work directly with firm leadership, client service teams, and internal stakeholders on a wide range of transactional legal matters that keep our business running smoothly and competitively.
What You'll Do
- Draft, review, and negotiate client engagement letters and master services agreements that define our service relationships and terms
- Prepare access letters, confidentiality agreements, and other transactional documents required for client work
- Advise principals and business leaders on transactional risks, terms, and compliance considerations
- Support contract lifecycle management from negotiation through execution and ongoing administration
- Collaborate with internal departments on service delivery frameworks and legal requirements
- Maintain transaction documentation and ensure consistency with firm standards and best practices
What We're Looking For
- Juris Doctor and active bar license in Illinois or willingness to obtain one
- 5+ years of experience in transactional legal work, corporate counsel, or related practice
- Strong expertise in contract drafting, negotiation, and commercial law principles
- Ability to work across multiple matter types simultaneously with excellent organization
- Clear communication skills and ability to translate legal concepts for business audiences
- Proactive approach to problem-solving and attention to detail in document preparation
- Professional judgment and discretion in handling sensitive business matters
