Altus Group is hiring a Legal Counsel in Canada to join its global Legal team, taking on high-impact transactional and public company work that shapes the direction of a worldwide public business. This full-time, remote-first position is based out of Toronto or Montreal, with occasional in-person attendance for team gatherings and key business activities.
About the Role
Reporting to the Deputy General Counsel & Assistant Corporate Secretary, the Legal Counsel will help guide Altus Group through acquisitions, divestitures, minority investments, disclosure obligations, governance initiatives, and treasury matters. Partnering with Finance, Corporate Development, Investor Relations, executive leadership, and external advisors, you will give legal counsel on issues that steer strategy, fuel growth, and strengthen the company's market position.
Key Responsibilities
- Drive strategic deals — acquisitions, divestitures, minority investments, and related transactions — by supporting due diligence, negotiating documents, and managing legal risk alongside business leaders.
- Advise on securities and corporate governance, including continuous disclosure, regulatory filings, Board and Committee materials, and compliance with securities laws and stock exchange rules.
- Collaborate with Finance and senior leaders on financial reporting, earnings releases, treasury activity, and equity compensation programs.
- Offer practical, commercially grounded guidance that weighs legal and regulatory risk against business goals.
- Coordinate with stakeholders and external counsel across multiple jurisdictions to support global operations.
- Refine legal processes, policies, governance practices, and documentation to improve efficiency and manage risk.
- Build trusted, cross-functional relationships across Legal, Finance, Corporate Development, and the wider organization.
Qualifications
- A J.D. or LL.B. and admission to the Bar in a Canadian province.
- Experience gained at a leading law firm, a public company, or both.
- A background in public company disclosure, corporate governance, and securities compliance, including reviewing disclosure documents and working with regulators and stock exchanges.
- Hands-on involvement in mergers and acquisitions, divestitures, investments, or other corporate transactions, including reviewing and negotiating deal documents.
- Sound business judgment and the ability to juggle competing priorities in a fast-moving setting.
