Join an AmLaw 50 law firm in New York City as a Mid to Senior-Level Private Equity M&A Associate Attorney through Food Management Search. This full-time position offers the chance to work within a globally recognized private equity practice.
About the Role
As a member of the firm's Global Finance Practice Group, you'll advise institutional investors, portfolio companies, and strategic buyers throughout all phases of the investment lifecycle—from initial structuring and diligence through closing and post-acquisition integration. You'll handle complex, high-value transactions with sophisticated clients alongside experienced deal professionals.
What You'll Do
- Draft, review, and negotiate purchase agreements, stock purchase agreements, asset purchase agreements, and ancillary transaction documents
- Conduct thorough legal due diligence on target companies, analyzing corporate structure, material contracts, regulatory compliance, and transaction risks
- Advise clients on deal structures, tax considerations, representations and warranties, indemnification, and escrow arrangements
- Coordinate with investment teams, bankers, accountants, and other advisors to ensure smooth transaction execution and timely closings
- Support portfolio company financing, refinancing, and secondary market transactions
- Manage post-closing matters including earnout provisions, purchase price adjustments, and representation and warranty claims
What We're Looking For
- 4-8+ years of experience in private equity transactions, M&A law, or corporate finance
- Strong technical expertise in deal documentation, transaction structuring, and corporate law
- Exceptional written and verbal communication skills with outstanding attention to detail
- Proven ability to manage multiple concurrent transactions and work effectively both independently and as part of a team
- Law degree and bar admission in New York or eligible to practice in New York
- Prior exposure to high-volume transactional work with experience in private equity deal flows
