Legal Director – M&A

UKG is seeking a Legal Director focused on Mergers & Acquisitions for our Phoenix, Maricopa County headquarters. This full-time position leads all legal matters related to corporate M&A activity, ensuring seamless transaction execution, regulatory compliance, and strategic alignment with business objectives.

About the Role

As Legal Director of M&A, you will manage the legal strategy and execution of merger, acquisition, and integration activities. You'll oversee due diligence processes, negotiate transaction documentation, and guide the company through complex deal structures and regulatory requirements. Your leadership ensures every transaction supports long-term business growth while maintaining the highest legal and ethical standards.

What You'll Do

• Lead comprehensive legal due diligence for prospective acquisitions and partnerships
• Draft, review, and negotiate purchase agreements, asset sale agreements, and transaction-related contracts
• Assess regulatory, compliance, and legal risks associated with target companies and deal structures
• Coordinate with internal stakeholders, external counsel, and transaction advisors throughout deal lifecycle
• Provide legal counsel on post-closing integration planning and implementation
• Maintain relationships with investment banks, private equity firms, and strategic partners
• Monitor evolving legal and regulatory landscapes affecting M&A activity and corporate transactions

What We're Looking For

• Juris Doctor degree and active bar license (Arizona preferred)
• 7+ years of legal experience in mergers, acquisitions, or corporate transactions
• Demonstrated expertise in deal structuring, due diligence, and transaction documentation
• Strong understanding of securities law, antitrust regulations, and relevant compliance frameworks
• Excellent written and verbal communication skills; ability to explain complex legal concepts to business leaders
• Track record of managing multiple high-stakes transactions concurrently
• Collaborative leadership style with experience mentoring junior attorneys and cross-functional teams
