About the Role
We are seeking a Private Investment Funds and Fund Formation Managing Associate with four to six years of relevant experience to join the firm's practice connected to its San Francisco, California office, with the position based in Santa Rosa, Sonoma County. This is a fully transactional, full-time role centered on private fund formation and investment management work. You will support both sponsor-side and investor-side matters, advising sophisticated clients across the lifecycle of private investment vehicles.
Key Responsibilities
- Structure, form, and launch private investment funds across a range of asset classes and strategies.
- Draft, negotiate, and review fund formation and investment management documentation.
- Advise sponsor-side and investor-side clients on transactional and regulatory considerations.
- Collaborate with partners and cross-practice teams to deliver seamless, client-focused counsel.
- Manage discrete workstreams independently as a Managing Associate while mentoring junior lawyers.
Qualifications
- Four to six years of substantive experience in private investment funds and fund formation.
- Strong transactional background spanning sponsor-side and investor-side engagements.
- Demonstrated command of investment management matters and fund structuring.
- Excellent drafting, negotiation, and client-relationship skills.
- Admission to practice and good standing as required for the role in California.
