About the Role

As Assistant General Counsel focused on corporate securities, you'll provide essential legal support to A.O. Smith's General Counsel and executive leadership on matters critical to a publicly traded organization. Your work will span the full range of corporate legal issues that protect shareholder value and ensure regulatory compliance at the highest levels.

What You'll Do

  • Advise on corporate governance matters, including board and shareholder relations, proxy disclosures, and compliance with securities regulations
  • Support corporate transactions including mergers, acquisitions, financing, and capital markets activities
  • Assist with Securities and Exchange Commission (SEC) compliance, securities filings, and reporting obligations
  • Review, draft, and negotiate commercial and corporate contracts across the organization
  • Conduct legal research and prepare memoranda on complex corporate and securities issues
  • Support the General Counsel in managing litigation, regulatory matters, and legal risks facing the company
  • Collaborate with business units, finance, and human resources on legal matters impacting operations

What We're Looking For

  • Juris Doctor (J.D.) degree and active bar admission (required)
  • Prior experience in corporate law, securities law, or business transactions in a law firm, in-house legal department, or related role
  • Strong understanding of corporate governance principles, SEC regulations, and securities compliance
  • Excellent legal research, writing, and analytical skills with keen attention to detail
  • Ability to manage multiple matters simultaneously while meeting demanding timelines
  • Professional communication and ability to build trusted relationships with internal and external stakeholders
