About the Role

You'll partner with our General Counsel to drive corporate legal strategy, safeguard the company's interests, and enable sustainable growth. This leadership role focuses on complex corporate and securities matters, board governance, regulatory compliance, and strategic risk mitigation. Your counsel will inform major business decisions and ensure our operations align with legal best practices and evolving regulations.

What You'll Do

• Guide corporate governance matters, including board operations, stockholder communications, and compliance with securities laws and stock exchange requirements
• Lead due diligence and legal analysis for mergers, acquisitions, and other significant corporate transactions
• Review and advise on commercial contracts, equity agreements, employment matters, and corporate documentation
• Oversee regulatory compliance within applicable corporate and securities frameworks
• Identify and mitigate legal risks; provide strategic recommendations to executive leadership and the board
• Coordinate with external counsel, auditors, and internal teams on complex legal matters
• Support the General Counsel and board committees on enterprise-wide legal initiatives

What We're Looking For

• JD from an accredited law school; licensed to practice in California (or ability to qualify)
• 8+ years of progressive experience in corporate law, securities law, or in-house counsel positions
• Substantial experience with public company governance, capital markets law, and securities regulation
• Demonstrated integrity, sound legal judgment, and ability to distill complex issues for business audiences
• Proven project management and organizational skills handling concurrent, high-stakes matters
