Senior Counsel

Fujifilm is seeking a full-time Senior Counsel to join its legal team in Providence, Providence County, supporting FUJIFILM Holdings America Corporation and its software and information technology services businesses.

About the Role

In this senior in-house position, you will serve as a trusted legal advisor on a broad range of corporate and commercial matters. Reporting directly to the Division General Counsel, Electronics, M&A & Assistant Secretary, you will partner closely with business leaders to deliver practical, risk-aware guidance that enables the organization to move forward with confidence.

What You'll Do

• Draft, review, and negotiate a wide variety of commercial contracts, including software licensing, SaaS agreements, professional services engagements, and vendor arrangements
• Support corporate transactional work, including mergers, acquisitions, divestitures, and joint ventures across Fujifilm's technology and IT services portfolio
• Advise internal stakeholders on corporate governance, subsidiary management, and compliance obligations
• Identify and assess legal risk across business operations and recommend practical mitigation strategies
• Collaborate with outside counsel on complex matters, managing scope and cost effectively
• Assist with regulatory filings, corporate secretary functions, and board-level documentation as needed
• Stay current on developments in technology law, data privacy, and relevant US regulatory frameworks

What We're Looking For

• JD from an accredited US law school and active bar admission in good standing
• Substantial experience in corporate transactional law, ideally with a mix of law firm and in-house backgrounds
• Demonstrated ability to negotiate and close complex commercial and M&A transactions
• Familiarity with software, SaaS, or broader technology industry contracting and legal issues
• Strong written and verbal communication skills with the ability to translate legal complexity into clear business guidance
• Highly organized, self-directed, and comfortable managing multiple priorities in a fast-paced corporate environment
• Collaborative mindset with a practical, solution-oriented approach to legal counsel
