Axon is hiring an Assistant General Counsel, M&A in Boston, Suffolk County, where you'll drive legal strategy and execution across mergers, acquisitions, and corporate transactions while supporting our mission to protect life and advance justice systems.

About the Role

As Assistant General Counsel focused on Mergers & Acquisitions, you'll join Axon's legal team to manage the full lifecycle of corporate transactions and strategic growth initiatives. Working alongside our General Counsel, you'll be responsible for legal evaluation, negotiation, documentation, and closing support for deals that shape our future. This full-time position offers the opportunity to build expertise in complex M&A work while directly influencing corporate strategy.

What You'll Do

  • Lead legal due diligence processes, including document review, risk identification, and preliminary assessment for acquisition targets
  • Prepare and negotiate merger agreements, asset purchase agreements, stock purchase agreements, and ancillary transaction documents
  • Analyze legal, regulatory, and contractual considerations affecting deal structure and valuation
  • Coordinate with finance, operations, and business development teams to align legal requirements with business objectives
  • Advise on deal structuring options, entity considerations, and post-closing integration planning
  • Support the General Counsel on corporate governance, compliance matters, and general legal counsel responsibilities

What We're Looking For

  • Licensed attorney (JD required; active bar admission in any US state)
  • Minimum 3 years of corporate law experience, with meaningful focus on M&A, business transactions, or corporate practice at a law firm or in-house legal team
  • Demonstrated expertise in acquisition structures, transaction documentation, and deal negotiation
  • Superior legal writing and analysis capabilities with high attention to detail
  • Proven ability to manage multiple parallel transactions while working both independently and cross-functionally
  • Strong interpersonal skills with ability to communicate legal concepts clearly to business-side partners
