Corporate Counsel, M&A

Ingredion, a global leader in ingredient innovation, is seeking an experienced Corporate Counsel specializing in Mergers & Acquisitions to join our legal team at our headquarters in Westchester, Cook County. In this full-time role, you'll guide complex transactions and strategic corporate matters that shape the future of our business worldwide.

About the Role

As Corporate Counsel focused on M&A, you'll be the primary legal advisor on acquisition and divestiture transactions, combining deep technical expertise with business acumen to support Ingredion's growth strategy. You'll manage the full lifecycle of corporate transactions—from deal structuring and due diligence through negotiation, closing, and post-acquisition integration—while ensuring compliance with regulatory requirements across diverse jurisdictions.

What You'll Do

• Lead legal analysis and risk assessment for potential acquisitions and divestitures
• Negotiate and draft purchase agreements, representations, warranties, and ancillary transaction documents
• Coordinate with external counsel, investment bankers, and internal stakeholders throughout transaction processes
• Conduct and manage complex due diligence investigations covering financial, legal, regulatory, and operational matters
• Advise on deal structuring strategies to optimize tax, regulatory, and commercial outcomes
• Support the Board and executive leadership on corporate governance and strategic initiatives
• Identify and mitigate legal and regulatory risks in M&A transactions

What We're Looking For

• Juris Doctor degree and active admission to practice law in any US state
• Minimum 5+ years of corporate law experience, with substantial focus on M&A transactions
• Proven expertise in deal structuring, negotiation, and due diligence
• Strong working knowledge of corporate governance, antitrust, and securities law
• Excellent written and verbal communication skills with ability to distill complex legal issues for business audiences
• Demonstrated project management and ability to handle multiple transactions simultaneously
• Collaborative approach and comfort working cross-functionally with finance, operations, and business teams
