Toloka is hiring an Associate Commercial Contracts Counsel (Freelance/Contractor) to strengthen our international legal function across Europe and the US. This is a hands-on role for a commercially minded lawyer who thrives in a fast-paced, product-led environment. About the Role As Associate Commercial Contracts Counsel at Toloka, you will be the primary legal partner for procurement and vendor contracting while taking full ownership of contract lifecycle management (CLM). You will make sure every agreement in our contract management system is correctly intaken, routed, approved, executed, stored, easily searchable, and tracked through renewal. Key Responsibilities Own end-to-end CLM for all agreements — customer and vendor contracts, NDAs, partnerships, and amendments — keeping records accurate, complete, and report-ready. Move contracts from intake to signature by aligning stakeholders, managing turnaround times, and applying correct approval and signing routes. Draft, review, and negotiate procurement and vendor-side agreements, including mutual and unilateral NDAs, supplier contracts, SaaS procurement and licensing, professional services agreements, SOWs, and related amendments. Maintain repository hygiene by tracking counterparties, contract types, business owners, status, terms, and renewal or notice dates, escalating upcoming actions to the right owners. Spot and escalate privacy, data protection, security, and IP risks tied to personal data, confidential information, model training data, transfers, subprocessors, or system access; coordinate DPAs and security terms. Advise pragmatically on risk allocation — liability caps, indemnities, warranties, IP ownership, confidentiality, audit rights, and termination. Partner with procurement, product, and finance, and continuously improve templates, fallback clauses, and negotiation playbooks within the CLM. Qualifications Native or near-native professional English fluency. Law degree (LL.B., LL.M., JD, or equivalent) and qualification to practice in the US, EU, or UK, with 2+ years' PQE or equivalent commercial contracting experience, ideally in technology transactions or in-house. Proven drafting and negotiation of commercial technology contracts, especially vendor-side SaaS, services/SOWs, licensing, and NDAs. Strong grasp of privacy, security, and IP issues — DPAs, data-use restrictions, subprocessors, cross-border transfers, and security controls. Demonstrated CLM and contract-operations experience: intake, workflows, template administration, and metadata hygiene.
